Non-UK Organisations - How to setup and operate a branch in the United Kingdom?

First, you need to notify Companies House by completing the Form OS IN01 here (https://assets.publishing.service.gov.uk/government/uploads/system/uploads/attachment_data/file/949740/OS_IN01-V7.0.pdf).
Yes, in the 21st century this form still needs to be posted to the following addresses based on whether or not you are registering your branch in England, Wales, Scotland or Northern Ireland:

England and Wales:

The Registrar of Companies, Companies House,
Crown Way, Cardiff, Wales, CF14 3UZ.
DX 33050 Cardiff.

Scotland:

The Registrar of Companies, Companies House,
Fourth floor, Edinburgh Quay 2,
139 Fountainbridge, Edinburgh, Scotland, EH3 9FF.
DX ED235 Edinburgh 1.

Northern Ireland:

The Registrar of Companies, Companies House,
Second Floor, The Linenhall, 32-38 Linenhall Street,
Belfast, Northern Ireland, BT2 8BG.
DX 481 N.R. Belfast 1.

The registration of your branch costs £20 and this fee can only be paid to Companies House via postal order or cheque. Note – Spondoo Accountants can support you to make this payment.

Once the branch is registered with Companies House you will need to:

  • Ensure you are correctly registered with HM Revenue & Customs
  • Keep separate accounting / bookkeeping records for you UK branch
  • Depending on your UK turnover, you may need to register for VAT
  • Comply with PAYE and workplace pensions rules for UK staff
  • File accounts and corporation tax returns each year to HMRC
  • Incorporate the UK branch income & expenses in your home country statutory accounting processes
